1. Acceptance of Terms

Welcome to Ubuntu Solu Labs. By accessing or using our website and services, you agree to be bound by these Terms of Service. If you do not agree to these Terms, please do not use our services. These Terms constitute a legally binding agreement between you and Ubuntu Solu Labs, operating under South African law.

2. Services Provided

Ubuntu Solu Labs provides:

  • Custom website development and design
  • Web application development
  • E-commerce solutions
  • API integration and development
  • Digital transformation consulting
  • Technical support and maintenance

3. Payment Terms

Upon Project commencement

Late Payment Policy

Late payments may be subject to interest charges at the prevailing prime rate plus 2% per annum. Continued non-payment may result in suspension of services and legal action.

4. Intellectual Property Rights

Ownership Transfer

Upon full payment, you own all deliverables specifically created for your project, including code, designs, and custom content. This excludes third-party components and pre-existing intellectual property.

Portfolio Rights

We reserve the right to showcase completed work in our portfolio, case studies, and marketing materials unless a non-disclosure agreement specifies otherwise.

5. Project Scope & Changes

Project scope is defined in the formal proposal. Any changes to the agreed scope may result in adjustments to timelines and costs. We will provide written notice of any changes before proceeding.

6. Warranties & Support

30-Day Bug Fix Warranty

We provide a 30-day warranty for issues directly related to our work. This covers bug fixes only, not new features or content updates.

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE ARE NOT RESPONSIBLE FOR THIRD-PARTY SERVICES BEYOND OUR CONTROL.

7. Limitation of Liability

Our total liability for any claims is limited to the amount paid for the service in question. We shall not be liable for indirect, incidental, or consequential damages, including lost profits or data loss.

8. Refund & Cancellation Policy

We believe in fair, transparent dealings. Our refund policy is designed to protect both parties while ensuring you receive value for your investment.

Before Project Commencement

100% Refund: If you cancel before any work begins (within 48 hours of deposit and before discovery/planning phase starts), you will receive a full refund of your deposit.

During Discovery Phase

75% Refund: If you cancel during the discovery/planning phase, 25% of the deposit will be retained to cover consultation time and preliminary work completed.

During Development Phase

Pro-Rata Refund: Once development begins, refunds are calculated based on work completed. You will be invoiced for hours worked plus any third-party costs incurred (hosting, domains, licenses). Remaining balance will be refunded within 14 business days.

Non-Refundable Items

  • Third-party purchases made on your behalf (domains, hosting, licenses, stock images)
  • Custom code or designs already delivered and approved
  • Completed milestones that have been signed off
  • Rush fees or expedited delivery charges

How to Request a Refund

Contact us at hello@ubuntusolu.com with your project details and refund request. We will respond within 2 business days with a breakdown of work completed and applicable refund amount. Refunds are processed via the original payment method within 14 business days of approval.

9. Termination

By Client

You may terminate at any time. You will be invoiced for completed work, non-refundable expenses, and applicable cancellation fees.

By Us

We may terminate if payment is 30+ days overdue, you breach these Terms, or circumstances beyond our control make continuation unfeasible.

10. Dispute Resolution

In the event of a dispute, parties agree to attempt resolution through good-faith negotiation. If negotiation fails, mediation shall be pursued before legal action.

Jurisdiction: These Terms are governed by the laws of South Africa. Any legal proceedings shall be brought in the courts of KwaZulu-Natal, South Africa.

Right to Modify

We reserve the right to modify these Terms at any time. Changes are effective upon posting. For ongoing projects, existing Terms remain valid until completion.
